These Terms and Conditions (“Agreement”) govern the relationship between GameLaunch (“Company,” “we,” “us,” or “our”), located at C-Block, Johar Town, Lahore, Pakistan, and you (“Client,” “you,” or “your”) regarding Android game development services provided through our website https://gamelaunch.space.
1. Acceptance of Terms
By engaging our services, submitting a project request, or executing a service agreement with GameLaunch, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Services Provided
2.1 Scope of Services
GameLaunch provides Android game development services including but not limited to game design, programming, art creation, sound design, testing, deployment, and post-launch support as specified in individual project agreements.2.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. Changes to ongoing projects will be communicated and agreed upon with affected clients.2.3 Project Specifications
All services will be delivered according to specifications agreed upon in writing. Any changes to project scope must be documented and may result in adjusted timelines and costs.
3. Client Responsibilities
3.1 Accurate Information
You agree to provide accurate, complete, and timely information necessary for project completion, including game concepts, assets, and feedback.3.2 Legal Compliance
You warrant that your game concept and any materials provided do not infringe upon any third-party rights and comply with all applicable laws and regulations.3.3 Timely Communication
You agree to respond to project-related communications within reasonable timeframes to avoid project delays.3.4 Content Guidelines
You acknowledge that we reserve the right to refuse projects containing illegal, offensive, or inappropriate content at our sole discretion.
4. Intellectual Property Rights
4.1 Client Materials
You retain all rights to materials you provide to us. You grant us a limited license to use these materials solely for the purpose of completing your project.4.2 Developed Works
Upon final payment, all intellectual property rights in the completed game, including source code, artwork, and other deliverables, transfer to you unless otherwise specified in writing.4.3 Company Portfolio Rights
You grant us permission to showcase your completed game in our portfolio and marketing materials unless you explicitly opt out in writing.4.4 Third-Party Components
Some projects may include third-party libraries or assets subject to separate licensing terms, which will be disclosed to you.
5. Payment Terms
5.1 Pricing
All prices are quoted in US Dollars unless otherwise specified. Prices are subject to change, but confirmed project quotes remain valid for 30 days.5.2 Payment Schedule
Standard payment terms require 50% upfront and 50% upon project completion. Alternative payment schedules may be arranged for larger projects.5.3 Late Payments
Overdue payments may incur interest charges of 1.5% per month. We reserve the right to suspend work on projects with overdue payments.5.4 Refund Policy
Due to the custom nature of our services, refunds are evaluated on a case-by-case basis and generally limited to work not yet performed.
6. Confidentiality
6.1 Mutual Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the project and for a period of three years thereafter.6.2 Exceptions
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
7. Warranties and Disclaimers
7.1 Service Warranty
We warrant that our services will be performed in a professional manner consistent with industry standards.7.2 Limited Warranty Period
We provide a 90-day warranty on delivered code against defects. This warranty does not cover issues arising from modifications made by you or third parties.7.3 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
8. Limitation of Liability
8.1 Maximum Liability
Our total liability for any claims arising from this agreement shall not exceed the total amount paid by you for the specific project giving rise to the claim.8.2 Exclusion of Damages
IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE.
9. Indemnification
You agree to indemnify and hold GameLaunch harmless from any claims, damages, or expenses arising from your breach of these terms, your game content, or your use of the delivered game.
10. Termination
10.1 Termination Rights
Either party may terminate a project agreement with 30 days written notice. Termination does not affect completed work or accrued payment obligations.10.2 Effect of Termination
Upon termination, we will deliver all completed work, and you will pay for all work performed up to the termination date.
11. Dispute Resolution
11.1 Good Faith Resolution
Parties agree to attempt to resolve disputes through good faith negotiations before pursuing formal proceedings.11.2 Governing Law
This agreement is governed by the laws of Pakistan. Any legal proceedings shall be conducted in the courts of Lahore, Pakistan.
12. General Provisions
12.1 Entire Agreement
This agreement, together with any project-specific agreements, constitutes the entire agreement between the parties.12.2 Amendments
We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the modified terms.12.3 Severability
If any provision is found unenforceable, the remaining provisions shall continue in full effect.12.4 Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control.12.5 Assignment
You may not assign your rights under this agreement without our written consent.
